These Terms of Service ("Terms") govern your use of the FactoryLens Agency website and services. By engaging our services or submitting an enquiry, you agree to be bound by these Terms. If you do not agree, please do not use our services.
1. About FactoryLens
FactoryLens Agency ("FactoryLens", "we", "us", "our") is an agency that arranges factory visits, product inspections, content creation, supplier vetting, deal brokering, translation services, and related services in China and Hong Kong on behalf of overseas clients. We coordinate local representatives and subcontractors to fulfil client requests.
2. Services
FactoryLens offers the following services, subject to availability and geographic coverage:
- Factory visits and written reports
- Pre-shipment product inspections
- Factory content creation (product, behind-the-scenes, how-it's-made filming)
- New supplier vetting (manufacturer vs. middleman verification)
- Deal brokering and in-person negotiation
- Translation and touring (Canton Fair, trade shows, sourcing trips)
- Production update check-ins
- Vlog Your China Trip (dedicated videographer for client travel)
- Monthly retainer packages
Service descriptions, inclusions, and pricing are outlined on our website and confirmed in individual quotes. We reserve the right to modify or discontinue any service at any time.
3. Quotes and Payment
Quotes: All quotes are provided in USD and are valid for 14 days unless otherwise stated. Final quotes include applicable travel costs, which vary by factory location.
Payment upfront: Payment is required in full before any factory visit, inspection, or service is scheduled. We accept bank transfer, PayPal, and major credit cards.
No refunds after service commencement: Once a representative has been briefed and dispatched, fees are non-refundable. If a visit cannot be completed due to factory refusal or access denial, we will document the circumstances and provide a report. Partial credit may be offered at our discretion.
4. Client Responsibilities
You agree to:
- Provide accurate factory addresses, supplier names, and contact information
- Provide a clear brief outlining what you need checked, inspected, or captured
- Notify your supplier in advance that a FactoryLens representative will be visiting (unless a covert visit is specifically agreed)
- Review and confirm deliverables within 7 days of receipt
- Not use our services for any unlawful purpose
5. Deliverables and Intellectual Property
Upon receipt of full payment, all photos, videos, and written reports produced by FactoryLens on your behalf are owned by you. You may use them freely for commercial purposes including social media, advertising, websites, and print.
FactoryLens retains the right to use anonymised, non-identifiable versions of deliverables for portfolio and marketing purposes, unless you request otherwise in writing.
6. Disclaimer of Warranties
FactoryLens provides reporting and documentation services. We do not manufacture, supply, or have any control over the products, factories, or suppliers we visit on your behalf.
- We do not guarantee that products will pass inspection or meet your quality standards.
- We do not guarantee that a supplier is the manufacturer of any particular product.
- Our reports are based on observations made at the time of the visit and represent our representative's honest assessment.
- Factory conditions, stock levels, and product quality may change after our visit.
Our services are provided on an "as is" basis. We make no warranties, express or implied, regarding the accuracy or completeness of any report beyond our reasonable professional standard.
7. Limitation of Liability
To the maximum extent permitted by law, FactoryLens shall not be liable for:
- Any loss, damage, or cost arising from defective products that passed inspection
- Any loss arising from a factory visit that was refused or could not be completed
- Any indirect, consequential, or incidental loss of any kind
- Any actions or decisions made by you based on our reports
Our maximum liability in any circumstance shall not exceed the total fees paid by you for the relevant service.
8. Confidentiality
Both parties agree to keep all commercially sensitive information confidential. FactoryLens will not disclose your supplier information, product details, or business information to any third party without your written consent, except as required by law or as necessary to fulfil your service (e.g. briefing a local representative under NDA).
9. Force Majeure
FactoryLens shall not be liable for delays or failure to perform services due to circumstances beyond our reasonable control, including natural disasters, civil unrest, government restrictions, public health emergencies, factory closures, or disruptions to travel.
10. Governing Law
These Terms are governed by the laws of Queensland, Australia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
11. Changes to These Terms
We reserve the right to update these Terms at any time. The updated Terms will be posted on our website with a revised "Last updated" date. Continued use of our services after changes constitutes acceptance of the updated Terms.
